Samsung Electronics Vice Chairman Jae-Yong Lee Joins Board

Samsung Electronics approved the nomination of Vice Chairman Lee Jae-yong to the electronics giant's board of directors. The approval enables the 48-year-old Lee, the only son of the ailing Samsung Electronics Chairman Lee Kun-hee, to more actively participate and take formal responsibility in the company's important decision-making. The younger Lee joined Samsung Electronics in 1991.

Cisco Announces Board ChangesAmy L. Chang

Cisco reported the appointment of Amy L. Chang, CEO and founder of Accompany, to its board of directors. Chang, is CEO and founder of Accompany, a relationship intelligence platform company.

Qualcomm Appoints Ann M. Livermore to its Board

Qualcomm named Ann M. Livermore to its Board of Directors. With her nearly 30 years at Hewlett-Packard Company (HP), Livermore brings extensive experience in senior leadership positions, and broad knowledge and experience in the areas of technology, business management, marketing, sales, and research and development. Livermore has been a director of UPS since November 1997, and Hewlett Packard Enterprise (HPE) since November 2015. Livermore was a director of HP from June 2011 to November 2015.

Accenture Appoints Former Adidas Chair/CEO to Board               

Accenture announced that Herbert Hainer has been appointed to the company’s Board of Directors.  Hainer was CEO and chairman of the executive board of adidas from 2001 until his retirement in September 2016. 

TCS Chairman Changes 

TCS appointed Ishaat Hussain as the chairman of the board replacing Cyrus P. Mistry. As a result, Mistry ceases to be the chairman of board of directors of the company. Hussain will hold the office of the chairman of board directors until a new chairman is appointed in his place.

Infosys Appoints Founder and CEO of India Based Surya Software Systems as New Board Member        

Infosys has appointed D.N. Prahlad as an independent director of the board. Prahlad is the founder and CEO of Surya Software Systems, Bangalore. He is on the advisory board of Computer Science and Automation Department of Indian Institute of Science, Bangalore.

FIS Transitions Executive Chair Frank R. Martire to Non-Executive Chair Role

Fidelity National Information Services in consistence with its orderly planned succession, transitioned Frank R. Martire, former CEO and current Executive Chair of the company, to serve as non-Executive Chair of the company commencing on January 1, 2017.

ServiceNow Announces Board Changes               

Paul Barber resigned from his role as Chairman and a member of the Board of Directors of ServiceNow. The Board selected Frank Slootman to serve as Chairman of the Board. Based on his service as the Company's President and CEO since May 2011, as well as his management capabilities, strength in direct and clear communications, knowledge of the industry and proven leadership, the Board believes that Slootman is the director most capable of effectively identifying strategic priorities, leading critical discussion and guiding the formulation of the Company's strategy and business plans.

The Board expanded the size of the Board and appointed former VMware CFO Jonathan Chadwick and President & CEO of PEC Ventures and former Morgan Stanley MD Paul Chamberlain to serve as directors.

Palo Alto Networks Appoints Mary Pat McCarthy to Board of Directors

Palo Alto Networks appointed Mary Pat McCarthy to the company's board of directors. McCarthy brings more than 34 years of experience to this position. She most recently served as Vice Chair of KPMG.

Alcatel-Lucent Announces Resignation of Board of Directors     

Nokia announced the 100% ownership of Alcatel-Lucent following the completion of the Squeeze-Out of all remaining Alcatel-Lucent securities not tendered into the Public Buy-Out Offer, completing the acquisition announced 19 months ago. The composition of the Board has been modified to reflect the new ownership structure of the company following the squeeze-out and the delisting from Euronext Paris. Independent directors Carla Cico, Jean-Cyril Spinetta and Sylvia Summers, as well as Board observers Gilles Le Dissez and Laurent du Mouza, resigned from the Board. Directors Risto Siilasmaa and Rajeev Suri also resigned as of the same date, while Kristian Pullola and Riikka Tieaho were coopted to the Board for the remaining duration of their respective terms of office.

First Data Appoints Co-CEO at Lebenthal as Board Member 

First Data Corporation appointed Barbara A. Yastine as Board of Directors. Yastine most recently served as a director and Co-CEO at Lebenthal Holdings. Prior to Yastine’s most recent role at Lebenthal Holdings, she served as Chair, President, and CEO of Ally Bank from 2012 to 2015. She also previously held the role of Chief Administrative Officer of Ally Financial. In addition Yastine is also a member of the Board of Primerica.  

Seagate Technology Witnesses Board Move; EVP Changes      

Seagate Technology announced that Michael R. Cannon was appointed Lead Independent Director on the company's Board of Directors. Cannon, who has served as a director on Seagate's board since 2011, replaces Dr. Chong Sup Park who has served as Lead Independent Director since 2011. Dr. Park has been a board member since 2006 and will continue to serve as a Seagate board director.

Seagate Technology and Albert A. Rocky Pimentel entered into a Separation and Release Agreement, pursuant to which Pimentel's employment with the company terminated. Pimentel had served in the interim role of EVP since January 4, 2016.

Patrick O'Malley's title was changed from that of EVP to SVP. O'Malley will continue to advise the CEO of Seagate Technology on a range of strategic and operational issues.

IMS Health Holdings Announces Board Changes in Connection with the Closing of the Quintiles Merger            

IMS Health Holdings announced that in connection with the closing of the merger, Ari Bousbib, John G. Danhakl, James Fasano, Karen L.Katen, Sharad S. Mansukani, Ronald A. Rittenmeyer, Todd B. Sisitsky and Bryan M.  Taylor resigned as directors of the company.

WEX Elects Retired PwC Partner John (Jeb) E. Bachman to Board

Global payment solutions company WEX elected John (Jeb) E. Bachman, 60, to the company’s board of directors.  Bachman is an “audit committee financial expert” who spent more than 35 years at PricewaterhouseCoopers and is on the board of directors for The Children’s Place, a public company. A partner at PricewaterhouseCoopers until his retirement in 2015, Bachman served as the U.S. assurance operations leader from 2007 to 2013, with full financial and operational responsibility for the $4 billion business, including the firm’s audit and risk management practices.

Match Group Appoints IAC CFO as Board Member

Glenn H. Schiffman, age 47, was elected to the Board of Directors of Match Group. Schiffman has served as CFO of IAC/InterActiveCorp (IAC) since April 2016. Prior to joining IAC, he served as Senior Managing Director at Guggenheim Securities and was a partner at The Raine Group.

Rightmove’s Newest Board Member is Recognized Technology Leader in in the UK     

Rightmove, the UK's number one property website, appointed Jacqueline de Rojas as a non-executive director. Jacqueline holds a full time position as EVP of Northern Europe for The Sage Group plc and is a Non-Executive Director of tech UK, where she serves as President. She has worked in the software, technology and digital sectors since 1984 holding executive roles with digital and enterprise sales-focused businesses including Citrix Systems, CA Technologies, McAfee and Business Objects amongst others.

Just Eat Appoints Former P&G Marketing Expert to its Board       

Roisin Donnelly, who spent 31 years with Procter & Gamble and rose to be CMO for Northern Europe, joined the board of leading online takeaway ordering service Just Eat. Donnelly oversaw marketing in six countries for P&G. Before that she spent 14 years leading the P&G marketing department for the UK and Ireland. She was marketing director for P&G's Prestige Fragrance division for North America and Latin America, and marketing director for P&G's former Max Factor cosmetics brand in the UK.

Guidewire Software Announces Board Changes  

John Cavoores, 59, will not stand for re-election as a member of the Board of Directors of Guidewire Software. Craig Conway has taken over the duties of Chairman of the Board.

Cavoores is former Co-CEO of Aspen Insurance. Conway has served on Guidewire’s board since December 2010. Conway has served as Chairman of the board earlier. From 1999 to 2004, Conway served as President and CEO of PeopleSoft.

Oracle Financial Services Software Director Resigns

Oracle Financial Services Software announced that Samantha Wellington, 38, Non-Executive Non-Independent Director of the company, has tendered her resignation. Wellington has been the Managing Counsel of Oracle America since August 2012.

Rackspace Hosting Announces Board Elections

Apollo Global Management completed the acquisition of the Rackspace Hosting through the merger. All of the directors serving on the Board of Directors of the company were removed without cause; and Parent, the sole stockholder of the company, elected David Sambur, Aaron Sobel, Darren Glatt and William Taylor Rhodes to the Board as directors of the company. Prior to the merger, Rhodes was the CEO and President of the company and a member of the Board. William Taylor Rhodes has served as the Company’s President since January 2014 and as its CEO and Director since September 2014.

David Sambur is a Partner of Apollo Global Management, having joined in 2004. Sambur has experience in financing, analyzing, investing in and/or advising public and private companies and their board of directors. Prior to joining Apollo, he was a member of the Leveraged Finance Group of Salomon Smith Barney.

Aaron Sobel has experience in financing, analyzing, investing in and/or advising public and private companies and their board of directors. Prior to joining Apollo,  Sobel was a member of the Financial Sponsors Group in the Investment Banking Division at Goldman Sachs & Co.

Darren Glatt is a Partner of Searchlight Capital Partners, having joined in 2013. Glatt has experience in financing, analyzing, investing in and/or advising public and private companies and their board of directors. Prior to joining Searchlight, he was a Partner in the Private Equity Group at Apollo Global Management.  Glatt also held positions at Apax Partners, The Cypress Group and Bear Stearns.

GrubHub Goes through Board Changes       

Online food ordering services firm GrubHub announced that Justin Sadrian, 44, a member of the board of directors the company, resigned from the board. Sadrian is a partner at the firm of Warburg Pincus. The board increased the size of the board to ten members and appointed David Habiger, 47, and Linda Johnson Rice, 58, as directors.

Habiger was the interim CEO of Textura Corporation and a member of the company's Board of Directors, prior to its recent sale to Oracle, and is a venture partner with Pritzker Group.

Rice is Chairman of Johnson Publishing Company (JPC) and Chairman Emeritus of EBONY Media Holdings, and serves on the Board of Directors of Omnicom Group.

Shopify Appoints former CEO and Chairperson of Constant Contact Gail Goodman to its BoardGail Goodman

Canadian e-commerce company Shopify appointed Gail Goodman to its board of directors. Gail is the former CEO and Chairperson of Constant Contact, a software company providing small businesses with online marketing tools to grow their businesses. After becoming CEO in April 1999, she led Constant Contact through its initial public offering and for eight years as a publicly traded company, until its acquisition by Endurance International Group Holdings in February, 2016.

Paycom Software Appoints Couple of Directors with HR/Payroll and Federal Experience

Cloud-based human capital management software firm Paycom Software announced that Henry Ric Duques and J.C. Watts, Jr. have been appointed to Paycom’s board of directors. Duques is the former chairman and CEO of First Data. He previously served on the boards of directors of several public companies, including Unisys, SunGard and CheckFree. Duques brings substantial experience in the payroll and HR field, having served as the group president of financial services at ADP.

Watts, who served in the U.S. House of Representatives for eight years, is the president and CEO of Watts Partners, a boutique corporate and government affairs consulting firm he co-founded in 2003. During his time in Congress, Watts was a member of the Financial Services, Armed Services and Transportation and Infrastructure committees. Watts currently serves on the board of directors of Dillard's, and previously served on the boards of directors of several other public companies, including CSX and ITC Holdings.

Liberty Expedia Board Member Steps Down      

Internet retailer of sports and fitness goods Liberty Expedia Holdings announced that Richard N. Baer, 59, resigned from the company's board of directors. Baer serves as the Chief Legal Officer and Executive Officer of Liberty Expedia

WebMD Announces CEO and CFO Changes

WebMD appointed Steven L. Zatz, M.D., its President, to serve as its CEO. Dr. Zatz has been a member of the senior leadership of WebMD and its predecessor companies for 17 years. Dr. Zatz was appointed President of WebMD in 2013. Prior to becoming President, Dr. Zatz was EVP of Professional Services, responsible for Medscape, the company's site for healthcare professionals. As a result of this transition, Dr. Zatz's responsibilities will expand to include WebMD Health Services.

The company also announced that David J. Schlanger, who has served as CEO since 2013, is leaving the company by mutual agreement.

WebMD also appointed Blake DeSimone as EVP and CFO of the company. DeSimone is replacing Peter Anevski, whose employment was terminated without cause by the company. Prior to joining the company, DeSimone served as CFO of D+M Holdings from 2010 to June 2015.

Paylocity Hires Board Member with Technology Investing Experience 

Online payroll software company Paylocity announced that Ellen Carnahan has joined the company's Board of Directors. Carnahan is currently Principal of Machrie Enterprises, where she has served since 2008 as an advisor to venture capital funds and invests in private companies and venture funds. She previously spent more than 18 years at William Blair Capital Management, where she served as Managing Director and Head of Technology Investing. From 1983 to 1987, Ms. Carnahan served as Vice President of Marketing and Planning at SPSS. 

Stamps.com Announces Board Appointments          

Internet-based mailing and shipping services company Stamps.com appointed two new members to its board of directors. David Habiger, former CEO of Textura, NDS Group and Sonic Solutions, joined company's board.

Theodore R. Samuels, President of Capital Guardian Trust Company and long-time portfolio manager and equity analyst with Capital Group, will join company's board following his retirement on January 4, 2017.

Infoblox Announces Board Changes After Acquisition  

Network control company Infoblox was acquired by Vista Equity Partners in a $1.6 billion deal.  Each of Richard E. Belluzzo, Laura C. Conigliaro, Philip Fasano, Fred M.  Gerson, Daniel J Phelps and Edzard Overbeek resigned from his or her respective position as a member of the company's board. Brian N. Sheth, Maneet S. Saroya, and John Stalder, became the company's directors following the Merger. In addition, following the closing of the merger, Martin A. Taylor and Jesper Andersen were elected as additional directors of the company.

Shutterfly Elects Amazon VP Eva Manolis to Board of Directors    

Shutterfly, the Internet-based image publishing service firm, elected Eva Manolis to its board of directors. Most recently, Manolis served an 11 year tenure as VP of consumer shopping experience at Amazon.com. At Amazon, Manolis’s responsibilities included leading the development of core consumer-facing features, functionality and user interface designs across multiple websites, mobile apps, and business lines. She further led cross-company initiatives in customer experience, design, and innovation.

DH Corporation Appoints Former First Data CEO as DirectorJonathan Judge

Financial technology solutions leader DH Corporation appointed Jonathan Judge, former CEO of First Data, as Board Member.  Judge has more than 40 years of technology, senior management and global operations experience. Prior to his role at First Data, Judge also served as President and CEO of Crystal Decisions from 2002 until the merger of Crystal Decisions with Business Objects S.A. in December 2003. Previously, Judge held numerous senior management positions at IBM, including General Manager of its personal computing division.

Computacenter Appoints Director with Significant Operational Expertise in Large Enterprises

Europe's leading IT provider Computacenter named Ros Rivaz to the Board as a Non-Executive Director. Ros is a Non-Executive Director of Boparan. She is also the Deputy Chair of the Council of the University of Southampton, where she holds an honorary doctorate, as well as a Non-Executive Director of the Government sponsored Your Life initiative encouraging 14-16 year olds to pursue qualifications in maths and physics. Up until June 2016, Ros was a Non-Executive Director of Rexam plc.

Epiq Systems Announces Retirement of Tom Olofson as Chairman and CEO

Tom Olofson, chairman and CEO of Epiq Systems, will retire from the company after its sale to two private equity firms is complete in the next few days. Olofson led a private investor group that acquired the business.

Orion Health Appoints Former Thermo Fisher Scientific Exec as Independent Director     

Global healthcare platform Orion Health appointed Ronald Andrews as an independent director of the company. Andrews has close to 30 years in governance and executive roles in the US Clinical and Molecular Diagnostics industry. He sits on the board of directors for several companies, both public and private, and is active on a number of charitable boards. He has extensive experience working with the US government in Washington and speaks regularly to industry groups. Andrews served as the President of the Genetic Science Division for Thermo Fisher Scientific until December 2014.

Castlight Health Names Technology Industry Leader Kenny Van Zant to Board   

Castlight Health, the healthcare information company, reported that Kenny Van Zant has joined its Board of Directors. Most recently, Zant was the Head of Business at Asana, the creator of cloud-based SaaS project management tools, where he led all business functions, including sales, marketing, customer support and finance.
