Samsung Electronics approved the nomination of Vice Chairman Lee Jae-yong to the electronics giant's board of directors. The approval enables the 48-year-old Lee, the only son of the ailing Samsung Electronics Chairman Lee Kun-hee, to more actively participate and take formal responsibility in the company's important decision-making. The younger Lee joined Samsung Electronics in 1991.

Qualcomm Appoints Ann M. Livermore to its Board
Qualcomm named Ann M. Livermore to its Board of Directors. With her nearly 30 years at Hewlett-Packard Company (HP), Livermore brings extensive experience in senior leadership positions, and broad knowledge and experience in the areas of technology, business management, marketing, sales, and research and development. Livermore has been a director of UPS since November 1997, and Hewlett Packard Enterprise (HPE) since November 2015. Livermore was a director of HP from June 2011 to November 2015.
Accenture Appoints Former Adidas Chair/CEO to Board
Accenture announced that Herbert Hainer has been appointed to the company’s Board of Directors. Hainer was CEO and chairman of the executive board of adidas from 2001 until his retirement in September 2016.
TCS Chairman Changes

Alcatel-Lucent Announces Resignation of Board of Directors
Nokia announced the 100% ownership of Alcatel-Lucent following the completion of the Squeeze-Out of all remaining Alcatel-Lucent securities not tendered into the Public Buy-Out Offer, completing the acquisition announced 19 months ago. The composition of the Board has been modified to reflect the new ownership structure of the company following the squeeze-out and the delisting from Euronext Paris. Independent directors Carla Cico, Jean-Cyril Spinetta and Sylvia Summers, as well as Board observers Gilles Le Dissez and Laurent du Mouza, resigned from the Board. Directors Risto Siilasmaa and Rajeev Suri also resigned as of the same date, while Kristian Pullola and Riikka Tieaho were coopted to the Board for the remaining duration of their respective terms of office.

First Data Corporation appointed Barbara A. Yastine as Board of Directors. Yastine most recently served as a director and Co-CEO at Lebenthal Holdings. Prior to Yastine’s most recent role at Lebenthal Holdings, she served as Chair, President, and CEO of Ally Bank from 2012 to 2015. She also previously held the role of Chief Administrative Officer of Ally Financial. In addition Yastine is also a member of the Board of Primerica.
Seagate Technology Witnesses Board Move; EVP Changes
Seagate Technology announced that Michael R. Cannon was appointed Lead Independent Director on the company's Board of Directors. Cannon, who has served as a director on Seagate's board since 2011, replaces Dr. Chong Sup Park who has served as Lead Independent Director since 2011. Dr. Park has been a board member since 2006 and will continue to serve as a Seagate board director.
Seagate Technology and Albert A. Rocky Pimentel entered into a Separation and Release Agreement, pursuant to which Pimentel's employment with the company terminated. Pimentel had served in the interim role of EVP since January 4, 2016.
Patrick O'Malley's title was changed from that of EVP to SVP. O'Malley will continue to advise the CEO of Seagate Technology on a range of strategic and operational issues.

WEX Elects Retired PwC Partner John (Jeb) E. Bachman to Board

Just Eat Appoints Former P&G Marketing Expert to its Board
Roisin Donnelly, who spent 31 years with Procter & Gamble and rose to be CMO for Northern Europe, joined the board of leading online takeaway ordering service Just Eat. Donnelly oversaw marketing in six countries for P&G. Before that she spent 14 years leading the P&G marketing department for the UK and Ireland. She was marketing director for P&G's Prestige Fragrance division for North America and Latin America, and marketing director for P&G's former Max Factor cosmetics brand in the UK.
Guidewire Software Announces Board Changes
John Cavoores, 59, will not stand for re-election as a member of the Board of Directors of Guidewire Software. Craig Conway has taken over the duties of Chairman of the Board.
Cavoores is former Co-CEO of Aspen Insurance. Conway has served on Guidewire’s board since December 2010. Conway has served as Chairman of the board earlier. From 1999 to 2004, Conway served as President and CEO of PeopleSoft.

Rackspace Hosting Announces Board Elections
Apollo Global Management completed the acquisition of the Rackspace Hosting through the merger. All of the directors serving on the Board of Directors of the company were removed without cause; and Parent, the sole stockholder of the company, elected David Sambur, Aaron Sobel, Darren Glatt and William Taylor Rhodes to the Board as directors of the company. Prior to the merger, Rhodes was the CEO and President of the company and a member of the Board. William Taylor Rhodes has served as the Company’s President since January 2014 and as its CEO and Director since September 2014.

GrubHub Goes through Board Changes
Online food ordering services firm GrubHub announced that Justin Sadrian, 44, a member of the board of directors the company, resigned from the board. Sadrian is a partner at the firm of Warburg Pincus. The board increased the size of the board to ten members and appointed David Habiger, 47, and Linda Johnson Rice, 58, as directors.
Habiger was the interim CEO of Textura Corporation and a member of the company's Board of Directors, prior to its recent sale to Oracle, and is a venture partner with Pritzker Group.
Rice is Chairman of Johnson Publishing Company (JPC) and Chairman Emeritus of EBONY Media Holdings, and serves on the Board of Directors of Omnicom Group.
Shopify Appoints former CEO and Chairperson of Constant Contact Gail Goodman to its Board
Canadian e-commerce company Shopify appointed Gail Goodman to its board of directors. Gail is the former CEO and Chairperson of Constant Contact, a software company providing small businesses with online marketing tools to grow their businesses. After becoming CEO in April 1999, she led Constant Contact through its initial public offering and for eight years as a publicly traded company, until its acquisition by Endurance International Group Holdings in February, 2016.
Paycom Software Appoints Couple of Directors with HR/Payroll and Federal Experience
Cloud-based human capital management software firm Paycom Software announced that Henry Ric Duques and J.C. Watts, Jr. have been appointed to Paycom’s board of directors. Duques is the former chairman and CEO of First Data. He previously served on the boards of directors of several public companies, including Unisys, SunGard and CheckFree. Duques brings substantial experience in the payroll and HR field, having served as the group president of financial services at ADP.
Watts, who served in the U.S. House of Representatives for eight years, is the president and CEO of Watts Partners, a boutique corporate and government affairs consulting firm he co-founded in 2003. During his time in Congress, Watts was a member of the Financial Services, Armed Services and Transportation and Infrastructure committees. Watts currently serves on the board of directors of Dillard's, and previously served on the boards of directors of several other public companies, including CSX and ITC Holdings.

WebMD Announces CEO and CFO Changes
WebMD appointed Steven L. Zatz, M.D., its President, to serve as its CEO. Dr. Zatz has been a member of the senior leadership of WebMD and its predecessor companies for 17 years. Dr. Zatz was appointed President of WebMD in 2013. Prior to becoming President, Dr. Zatz was EVP of Professional Services, responsible for Medscape, the company's site for healthcare professionals. As a result of this transition, Dr. Zatz's responsibilities will expand to include WebMD Health Services.
The company also announced that David J. Schlanger, who has served as CEO since 2013, is leaving the company by mutual agreement.
WebMD also appointed Blake DeSimone as EVP and CFO of the company. DeSimone is replacing Peter Anevski, whose employment was terminated without cause by the company. Prior to joining the company, DeSimone served as CFO of D+M Holdings from 2010 to June 2015.
Paylocity Hires Board Member with Technology Investing Experience
Online payroll software company Paylocity announced that Ellen Carnahan has joined the company's Board of Directors. Carnahan is currently Principal of Machrie Enterprises, where she has served since 2008 as an advisor to venture capital funds and invests in private companies and venture funds. She previously spent more than 18 years at William Blair Capital Management, where she served as Managing Director and Head of Technology Investing. From 1983 to 1987, Ms. Carnahan served as Vice President of Marketing and Planning at SPSS.

Financial technology solutions leader DH Corporation appointed Jonathan Judge, former CEO of First Data, as Board Member. Judge has more than 40 years of technology, senior management and global operations experience. Prior to his role at First Data, Judge also served as President and CEO of Crystal Decisions from 2002 until the merger of Crystal Decisions with Business Objects S.A. in December 2003. Previously, Judge held numerous senior management positions at IBM, including General Manager of its personal computing division.
